History

Implenia was created out of a series of mergers between Swiss regional construction companies. In mid-1997 Preiswerk Holding AG merged with Schweizerische Strassenbau- und Tiefbau-Unternehmung AG (Stuag) / Stuag Holding AG and Schmalz AG Bauunternehmung / Schmalz Holding AG to form Batigroup Holding, which was domiciled in Basel. Batigroup’s core competencies centred on traditional construction activities, including road building, poured asphalt, civil works, tunnelling and building construction.[4]

Zschokke Holding’s roots dated back to 1872 and the founding of Aktiengesellschaft Conrad Zschokke by Conrad Zschokke (1842–1918) in Aarau. In addition to building construction, Zschokke focused on general planning, general contracting and property management.[5]

Having acknowledged the complementary nature of their businesses, Zschokke and Batigroup began talks about a possible merger in summer 2005. Following these discussions, the intention to merge to form Implenia was announced publicly on 15 November 2005.[6] Finally, the shareholders of Zschokke and Batigroup approved the merger at simultaneous AGMs held on 2 March 2006.[7] It successfully fought off a takeover by the UK hedge fund, Laxey Partners in 2008.[8]

Implenia bought Betonmast Anlegg, a Norwegian infrastructure specialist, in 2010.[9] German company Bilfinger Construction, which operates in Germany, Austria, Romania and Sweden, became part of the Group in March 2015.[10] The acquisition of Bilfinger Hochbau followed in 2016.[11]

Major projects involving the company include the Roxburgh Dam completed in 1953,[12] the Dinorwig Power Station completed in 1984,[13] the Sunniberg Bridge completed in 1998,[14] the Stade de Genève completed in 2003,[15] the Pont de la Poya completed in 2014,[16] the Swissmill Tower completed in 2016,[17] the Gotthard Base Tunnel (Sedrun Section) completed in 2016[18] and the Nant de Drance Hydropower Plant, Finhaut, completed in 2018.[19]
