AKTOR: The construction arm of ELLAKTOR and its biggest subsidiary is established as a leading international infrastructure company, providing a wide range of highly diversified services in the fields of Construction, Solar Power, Quarrying, Facility and Project management. With a turnover of €1.5 billion and operations in 25 countries, its emblematic construction projects include the Gold Line Metro of Doha in Qatar, the new Acropolis Museum, the Rion-Antirrion Bridge etc.

AKTOR CONCESSIONS: The largest concessions company in Greece and the first to enter into concessions agreements already since the 1990s. With vast experience in all aspects of concessions, its portfolio includes the major motorways of Greece, as AKTOR CONCESSIONS holds a majority stake in Attiki Odos (65.8%) and the Moreas Motorway (71.67%), while retaining significant percentages (17-23%) in Olympia Odos, Rio-Antirrio Bridge and the Aegean Motorway.

Today(31.3.2020), it has 491 MW of total installed capacity in operation, while an investment plan foreseeing the construction and the operation of 2 new wind farms of a total installed capacity of 88.2 MW is underway.

REDS: One of Greece's leading real estate development companies. REDS undertakes medium and large-scale Retail and Entertainment, Office, Mixed Use, Exhibition and Conference and Residential projects. Among others, REDS has developed and is operating Smart Park, the biggest Retail Park in Greece, with 5 million visitors in 2018, while the company is currently developing the emblematic Cambas Project.

Historic Milestones

ELLAKTOR Group combines 70 years of experience, as it is the product of a merger of three large and historic construction companies of Greece, the Volos Engineering Company (TEB), founded in 1949, Elliniki Technodomiki, founded in 1955 and AKTOR, which started its operation in 1977.

The process which led to the creation of ELLAKTOR Group began in 1999 and was completed in 2002, with the absorption of the construction branches of ELLINIKI TECHNODOMIKI S.A. and TEB S.A. by AKTOR S.A., followed by the merger of ELLINIKI TECHNODOMIKI S.A. and TEB S.A. This process resulted in the Group’s parent company ELLINIKI TECHNODOMIKI – TEB S.A., which, in 2008 was renamed ELLAKTOR SOCIETE ANONYME with the trade name ELLAKTOR S.A.

As a result of the rapid growth of the construction sector in Greece in the late 1990s and the trend of mergers and acquisitions that prevailed to enable the creation of strong Infrastructure Groups having the financial and engineering capacity to respond to the high demand for new infrastructure projects during the 2000s, other construction companies joined ELLAKTOR Group through mergers and acquisitions, including TOMI S.A., KASTOR S.A. and PANTEHNIKI S.A.

Already from early 2000 the Group started diversifying its activities, expanding beyond the until then purely construction activity, in areas like real estate development, concessions, waste management and wind parks, through the establishment, acquisition or absorption of respective companies (AKTOR CONCESSIONS S.A., HELECTOR S.A. EL.TECH. ANEMOS S.A.).

During the same period, the Group also expanded its activities beyond the Greek borders with the establishment of subsidiaries and branches in Southeast Europe and the Middle East.

Shareholders

In July 2018, the General Assembly of the shareholders voted for changing ELLAKTOR Group's management, in what was the first proxy fight ever held in Greece. Following the change and as per the Shareholder Register of 31.3.2020, ELLAKTOR's over 5% are PEMANOARO LIMITED (25.58%) and Leonidas Bobolas (12.55%) and the Free Float (61.87%). PEMANOARO LIMITED is a company which is jointly controlled by Anastassios P. Kallitsantsis and Dimitrios P. Kallitsantsis. Also Anastassios Kallitsantsis owns a) as natural person 190,500 shares and equal voting rights, i.e. 0.09%, and b) through ARGONIO ENTERPRISES LIMITED, company controlled by him, 1,436,989 shares and equal voting rights, i.e 0.67%. Leonidas Bobolas participation (and voting rights) includes the participation of 1.14% held by the company ORANOM HOLDINGS LTD which he controls (i.e. 2,450,000 shares and equal voting rights). In 2018 after 19 years, one of the basic shareholders Dimitris Koutras sold his shares and left the company, due to disagreements with Kallitsantsis family.
